POWERED BY LYNC COACH MEMBERSHIP AND CERTIFICATION AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY.

BY CHECKING THE ACCEPTANCE BOX, ENROLLING, MAKING PAYMENT, ACCESSING

TRAINING MATERIALS, ATTENDING TRAINING, PARTICIPATING IN CERTIFICATION

ACTIVITIES, OR ACCESSING MEMBERSHIP BENEFITS, YOU AGREE TO BE LEGALLY

BOUND BY THIS AGREEMENT.

This Agreement is entered into between LYNC Institute, LYNC Academy, Powered by LYNCTM,

and affiliated entities (collectively "LYNC") and the enrolling participant ("Coach," "Participant,"

or "Member").

1. PROGRAM PURPOSE

The Powered by LYNCTM Coach Membership Program is a professional education, certification,

training, and membership program designed to train independent professionals in the principles,

methodologies, frameworks, and applications of the LYNC Model of CareTM.

Participation does not guarantee certification, employment, referrals, placement opportunities,

clients, income, or business success.

2. ELIGIBILITY

To participate, Coach must:

● Be at least eighteen (18) years of age.

● Have legal authority to enter into this Agreement.

● Provide accurate enrollment information.

● Remain in good standing with LYNC.

3. MEMBERSHIP TERM

The Powered by LYNCTM Coach Membership is a twelve (12) month commitment beginning on

the date of enrollment. Discount may be offered if 12 months are paid in full upon enrollment.

4. MEMBERSHIP FEES

Annual Membership Fee: $1,188.00

Payment Options:

● Annual payment in full; or

● Approved monthly payment plan.

The monthly payment option is a financing accommodation for the annual membership

commitment.

5. ANNUAL COMMITMENT

By enrolling, Coach agrees to the full twelve (12) month financial commitment.

If Coach:

● Withdraws;

● Stops participating;

● Fails to complete certification;

● Cancels participation;

● Abandons the program;

The remaining unpaid balance of the annual commitment shall immediately become due and

payable.

Coach remains responsible for the full annual membership fee regardless of participation level

or certification completion.

6. NO REFUND POLICY

ALL SALES ARE FINAL.

Membership fees, certification fees, training fees, intensive fees, workshop fees, subscriptions,

and related charges are non-refundable.

No refunds shall be granted for:

● Partial participation;

● Failure to complete certification;

● Voluntary withdrawal;

● Scheduling conflicts;

● Relocation;

● Financial hardship;

● Change of business plans;

● Dissatisfaction with results;

● Lack of referrals;

● Lack of clients;

● Failure to achieve business goals.

7. CERTIFICATION REQUIREMENTS

Certification is earned and not automatically granted.

To obtain Certified Powered by LYNC Coach status, Coach must successfully complete all

certification requirements established by LYNC, including:

● Completion of all required curriculum;

● Completion of required coursework;

● Completion of required assessments;

● Completion of any required practicum activities;

● Successful completion of the Powered by LYNCTM Two-Day Intensive;

● Compliance with membership requirements;

● Compliance with ethical standards established by LYNC.

Certification is evidence of successful completion of LYNC training requirements and does not

constitute employment, authorization to provide services on behalf of LYNC, or a guarantee of

future work opportunities.

LYNC retains sole authority regarding certification decisions.

8. CERTIFICATION STATUS

Certification may be denied, suspended, revoked, or not renewed if Coach:

● Violates this Agreement;

● Misrepresents credentials;

● Violates ethical standards;

● Misuses intellectual property;

● Fails to meet membership obligations;

● Damages the reputation of LYNC.

9. PROGRAM MODIFICATIONS

Coach acknowledges that LYNC reserves the right to modify certification standards,

membership benefits, curriculum requirements, technology platforms, training schedules,

continuing education requirements, community offerings, and program features from time to

time, provided such modifications do not materially alter the financial commitment agreed to at

enrollment.

LYNC may update, revise, replace, enhance, expand, remove, or modify program content,

educational materials, certification requirements, learning platforms, community features, and

operational processes as part of its ongoing commitment to program quality, compliance,

innovation, and organizational growth.

Any such modifications shall become effective upon notice to Coaches through the LYNC

platform, email communication, website posting, or other reasonable means of communication.

10. INDEPENDENT PROFESSIONAL STATUS

Coach acknowledges participation does not create:

● Employment;

● Partnership;

● Joint venture;

● Franchise;

● Agency relationship.

Coach operates as an independent professional and is solely responsible for taxes, licenses,

insurance, compliance obligations, contracts, and services provided to clients.

11. ADDITIONAL CONTRACTED SERVICES, IMPLEMENTATION ASSIGNMENTS, AND

WORK OPPORTUNITIES

Participation in the Powered by LYNC Coach Membership Program, certification status,

membership standing, completion of training, referral eligibility, directory listing, or designation

as a Certified Powered by LYNC Coach does not create any obligation on the part of LYNC to

provide employment, consulting engagements, implementation assignments, coaching

assignments, referrals, projects, speaking opportunities, revenue-sharing opportunities, client

placements, or compensation.

Certification does not guarantee employment, referral opportunities, implementation

assignments, client placements, consulting engagements, speaking opportunities,

revenue-sharing opportunities, or contracted work with LYNC.

Any work performed for LYNC, its clients, schools, nonprofit organizations, businesses, or

partners shall require a separate written agreement.

Such agreements may include:

● Master Services Agreement (MSA);

● Statement of Work (SOW);

● Independent Contractor Agreement;

● Consulting Agreement;

● Service Provider Agreement;

● Implementation Agreement;

● Training Agreement;

● Referral Agreement;

● Revenue Sharing Agreement;

● Partner Agreement.

Unless a separate written agreement has been executed by both parties, Coach has no

authority to:

● Act on behalf of LYNC;

● Bind LYNC contractually;

● Represent themselves as an employee of LYNC;

● Commit LYNC to pricing, services, or obligations;

● Incur expenses on behalf of LYNC.

LYNC retains sole discretion regarding the assignment of work opportunities, referrals,

implementation projects, consulting engagements, or contractor relationships.

12. REFERRALS AND OPPORTUNITIES

LYNC may, but is not obligated to, provide referrals, networking opportunities, project

opportunities, directories, listings, or introductions.

LYNC makes no guarantee regarding:

● Referral volume;

● Client acquisition;

● Revenue generation;

● Business opportunities.

13. COACH PROGRAM PLACEMENT REQUIREMENTS

LYNC reserves the right to require background checks, credential verification, proof of liability

insurance, professional references, professional licenses (if applicable), and other

documentation deemed necessary for certification, referrals, implementation opportunities,

contractor engagements, or client assignments.

14. INTELLECTUAL PROPERTY

All intellectual property remains the exclusive property of LYNC.

This includes:

● LYNC Model of CareTM;

● Powered by LYNC;

● LYNC@home;

● Curriculum;

● Assessments;

● Certification Materials;

● Training Materials;

● Videos;

● Workbooks;

● Frameworks;

● Downloads;

● Systems;

● Processes;

● Trademarks;

● Logos.

15. RESTRICTIONS ON USE

Coach may not:

● Copy materials;

● Share materials;

● Record proprietary content without authorization;

● Resell content;

● Create competing certification programs;

● Train others using LYNC materials without written authorization;

● Create derivative works;

● Use materials to train AI systems or machine learning models;

● Remove trademarks or ownership notices.

16. CONFIDENTIALITY

Coach agrees to maintain the confidentiality of all proprietary, confidential, non-public, strategic,

operational, business, financial, curriculum, implementation, client, partner, and training

information received from LYNC.

This obligation survives termination of membership.

17. NON-SOLICITATION AND PROTECTION OF BUSINESS RELATIONSHIPS

During membership and for twenty-four (24) months thereafter, Coach shall not directly or

indirectly:

● Recruit or solicit LYNC employees, contractors, advisors, implementation coaches,

trainers, certified coaches, or consultants;

● Encourage any individual to terminate their relationship with LYNC;

● Solicit LYNC clients, schools, nonprofit organizations, businesses, referral partners, or

implementation partners for competing services;

● Use confidential information to divert opportunities from LYNC.

Nothing herein prevents Coach from operating an independent business that does not utilize

LYNC intellectual property, confidential information, or protected business relationships.

18. COACH CODE OF CONDUCT

LYNC reserves the right to investigate complaints and determine appropriate corrective action,

including suspension, revocation, or non-renewal of certification.

Coach agrees to:

● Act ethically;

● Follow applicable laws;

● Represent LYNC accurately;

● Maintain professional conduct;

● Avoid harassment, discrimination, exploitation, or harmful practices.

19. MEDIA RELEASE, TESTIMONIAL CONSENT, AND RECORDING AUTHORIZATION

Coach grants LYNC permission to use their:

● Name;

● Image;

● Likeness;

● Voice;

● Testimonials;

● Comments;

● Photographs;

● Audio recordings;

● Video recordings;

● Submitted content.

Such materials may be used for:

● Marketing;

● Advertising;

● Social media;

● Websites;

● Training;

● Educational purposes;

● Public relations;

● Business development.

No compensation shall be owed for such use.

20. PAYMENT AUTHORIZATION

Coach authorizes recurring charges necessary to satisfy membership obligations.

Failure of payment does not eliminate the financial commitment established under this

Agreement.

21. CHARGEBACKS AND PAYMENT DISPUTES

If Coach initiates a chargeback or payment dispute:

● Membership access may be suspended;

● Certification may be suspended or revoked;

● Outstanding balances remain due;

● Coach shall reimburse LYNC for collection costs, attorney fees, administrative costs, and

chargeback fees.

22. DISCLAIMER OF WARRANTIES

The program is provided "AS IS" and "AS AVAILABLE."

LYNC makes no guarantees regarding:

● Certification success;

● Client acquisition;

● Income;

● Employment;

● Business outcomes.

23. LIMITATION OF LIABILITY

To the fullest extent permitted by law, LYNC shall not be liable for indirect, incidental,

consequential, special, punitive, emotional, financial, or business damages.

LYNC's maximum liability shall not exceed the amount paid by Coach during the preceding

twelve (12) months.

24. INDEMNIFICATION

Coach agrees to defend, indemnify, and hold harmless LYNC from claims arising from:

● Coach conduct;

● Client relationships;

● Professional services;

● Business activities;

● Violation of law;

● Breach of this Agreement.

25. TERMINATION

LYNC may suspend or terminate membership for:

● Non-payment;

● Ethical violations;

● Misrepresentation;

● Intellectual property violations;

● Harmful conduct;

● Breach of this Agreement.

Termination shall not eliminate outstanding payment obligations.

26. FORCE MAJEURE

LYNC shall not be responsible for delays, interruptions, or failures in performance resulting from

causes beyond its reasonable control, including natural disasters, public health emergencies,

acts of government, labor disputes, internet outages, technology failures, cyber incidents, utility

interruptions, or failures of third-party service providers.

27. ARBITRATION

Any dispute shall first be submitted to mediation.

If unresolved, disputes shall be resolved through binding arbitration in Wisconsin under the rules

of the American Arbitration Association.

28. CLASS ACTION WAIVER

Coach agrees to bring claims only in an individual capacity and waives participation in class,

collective, representative, or mass actions.

29. GOVERNING LAW

This Agreement shall be governed exclusively by Wisconsin law.

Venue shall be Outagamie County, Wisconsin.

30. SURVIVAL

The provisions relating to payment obligations, confidentiality, intellectual property,

indemnification, non-solicitation, arbitration, class action waiver, limitation of liability, and dispute

resolution shall survive termination of this Agreement.

31. ENTIRE AGREEMENT

This Agreement, together with the Website Terms of Use, Privacy Policy, and any applicable

program policies, constitutes the complete agreement between the parties.

32. ELECTRONIC SIGNATURE

Checking the acceptance box constitutes Coach's legal electronic signature and agreement to

be bound by this Agreement.

34. ACKNOWLEDGMENT

NO RELIANCE. Coach acknowledges that they have not relied upon any oral statements,

marketing materials, projections, earnings claims, referral expectations, employment

expectations, or representations not expressly contained in this Agreement.
